Terms of Service
Last updated: 19 August 2026
These terms describe how FoodBear works with restaurants. If you have signed a service agreement with us, that agreement governs our relationship and prevails over anything on this page.
1
Who we are
FoodBear is operated by FOODBEAR PTE. LTD., a company registered in Singapore under registration number 202629361E, with its registered office at 160 Robinson Road, #14-04 Singapore Business Federation Center, Singapore 068914. In these terms, “we” and “FoodBear” mean that company, and “you” means the restaurant business we contract with.
2
What we provide
We manage and optimize your presence on food delivery platforms — currently Grab and LINE MAN. Depending on the scope agreed with you, that includes menu and pricing work, promotions, keyword advertising, campaign management, photo optimization, review monitoring, and reporting through our online dashboard.
We provide a service. We do not sell, license or deliver software. Access to the FoodBear dashboard is provided at no separate charge as part of the service, and ends when the service ends.
3
Term and renewal
Our agreements run for a fixed initial term and renew automatically for successive terms of the same length. The term length is set in your agreement.
Either party may end the agreement with effect from the end of the current term by giving written notice before that term’s last day. The notice period is set in your agreement. Neither party may terminate for convenience during a term.
Either party may terminate immediately for cause — including a material breach that is not remedied within 30 days of written notice, insolvency, or an undisputed invoice left unpaid more than 60 days after its due date.
4
Fees, invoicing and payment
•
Our fee is a commission on your monthly net delivery sales. Your rate, and any minimum monthly fee, are set in your agreement.
•
We invoice after the end of each month, itemised per platform, showing the sales figure, the rate applied and the resulting fee.
•
Each invoice states its own due date and currency.
•
Undisputed amounts left unpaid past their due date may accrue interest at the rate set in your agreement.
•
If an undisputed amount is more than 30 days past due, we may suspend the service until it is settled. No fee accrues during a suspension.
To dispute an invoice, see our Refund & Cancellation Policy.
5
What we need from you
•
Access to your merchant accounts on the platforms we manage.
•
Accurate menu, cost and operational information, kept up to date.
•
Written confirmation of any health, origin or quality claim before we publish it.
•
A marketing budget within the range agreed in your agreement.
6
Ownership
You own your data. Once you have paid the invoice for the month in which something was created for you — a menu description, a photo, a campaign structure — the intellectual property in it is yours outright, and you may keep using it after our agreement ends. We will never ask you to remove menu content we wrote for you.
We keep our own tools, methods and know-how. We will not use your name, logo or performance figures in any case study or marketing material without your written consent.
7
Confidentiality
Each side keeps the other’s non-public business, financial and customer information confidential, uses it only for the purposes of the agreement, and does not pass it to third parties except to people who need to know it and are under equivalent obligations. This continues for three years after the agreement ends, and indefinitely for trade secrets.
8
Liability
We do not guarantee any particular sales, ranking or return on advertising spend — those depend on the platforms, your operations and your market. Our total liability under an agreement is capped at the amount stated in that agreement, and neither party is liable for indirect or consequential loss. Nothing limits liability that cannot be limited by law.
9
Governing law
Agreements issued by FOODBEAR PTE. LTD. are governed by the laws of the Republic of Singapore, and disputes are resolved by arbitration at the Singapore International Arbitration Centre under the SIAC Rules, seated in Singapore.
